1. Agreement to Terms

By accessing and using TraderBee ("the App", "our Service"), operated by Sleep Laugh Studios LLC ("we", "us", "our", "the Company"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

TraderBee is a peer-to-peer trading platform operated by Sleep Laugh Studios LLC that allows users to list items for trade and connect with other users to exchange goods. We provide a platform for users to communicate and arrange trades, but we are not a party to any actual trade transactions.

3. User Responsibilities

You are responsible for:

• Providing accurate information about items you list
• Ensuring items are legally owned by you and free to trade
• Meeting other users safely in public locations
• Inspecting items before completing trades
• Complying with all local, state, and federal laws

4. Prohibited Items and Activities

Users may not list or trade:

• Illegal items or substances
• Stolen goods
• Weapons or dangerous items
• Items that infringe on intellectual property rights
• Live animals
• Adult content or services

5. Safety and Meeting Guidelines

For your safety:

• Always meet in public, well-lit locations
• Consider bringing a friend
• Trust your instincts
• Never share personal financial information
• Report suspicious activity to local authorities

6. Platform Role and No Party to Transactions

IMPORTANT: TraderBee is solely a platform that connects users. We are NOT a party to any transaction, trade, or agreement between users. We do not:

• Own, possess, or control any items listed
• Verify the identity, background, or intentions of users
• Guarantee the quality, safety, legality, or condition of items
• Verify the accuracy of item descriptions or photos
• Mediate, arbitrate, or resolve disputes between users
• Guarantee that trades will be completed successfully

7. Assumption of Risk for Meetups

BY USING THIS SERVICE, YOU ACKNOWLEDGE AND AGREE THAT:

• Meeting strangers in person carries inherent risks
• You are solely responsible for your personal safety during meetups
• TraderBee is not responsible for any incidents, injuries, theft, assault, property damage, or any other harm that may occur during or as a result of meetups
• Suggested meetup locations are provided for convenience only and do not constitute a guarantee of safety
• You assume all risk associated with meeting other users

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We make no representations or warranties about:

• The conduct, behavior, or trustworthiness of any user
• The quality, safety, legality, or authenticity of any item
• The accuracy of any information provided by users
• The outcome of any trade or transaction
• The safety of any meetup location

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLEEP LAUGH STUDIOS LLC, TRADERBEE, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Personal injury, assault, theft, or property damage during meetups
• Loss, damage, or theft of traded items
• Fraudulent, deceptive, or illegal conduct by other users
• Items that are defective, stolen, counterfeit, or misrepresented
• Failed, incomplete, or disputed trades
• Emotional distress or mental anguish
• Loss of profits, data, or business opportunities
• Any damages arising from your use of or inability to use the service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sleep Laugh Studios LLC, TraderBee, and its owners, operators, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your interactions with other users
• Any trade or transaction you participate in
• Any items you list, trade, or receive
• Any meetup or in-person interaction
• Your violation of any law or rights of a third party

11. Dispute Resolution Between Users

Any disputes arising between users are solely between those users. TraderBee will not mediate, arbitrate, or otherwise resolve disputes between users. Users agree to resolve disputes directly with each other or through appropriate legal channels. By using this service, you release TraderBee from any claims, demands, or damages arising from disputes with other users.

12. Tax Responsibilities

IMPORTANT TAX NOTICE:

The Internal Revenue Service (IRS) considers barter transactions to be taxable income. When you trade items, both parties may be required to report the fair market value of items received as income on their tax returns.

You are solely responsible for:

• Determining the fair market value of items you trade
• Reporting barter income on your tax returns as required by law
• Keeping records of your trades for tax purposes
• Consulting with a tax professional about your obligations

TraderBee does not provide tax advice, does not report transactions to the IRS on your behalf, and is not responsible for any tax obligations arising from your use of the platform. We recommend consulting a qualified tax professional regarding the tax implications of your trading activities.

13. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

14. Geographic Restrictions

TraderBee is currently available only to users in San Diego County, California. Users must provide a valid San Diego County zip code to register.

15. Account Termination

We reserve the right to terminate or suspend user accounts at our discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.

16. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective when posted. Your continued use of the service after changes are posted constitutes acceptance of the modified terms.

17. Governing Law

These terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TraderBee regarding your use of the Service and supersede all prior agreements and understandings.
